These Terms & Conditions (“Terms”) govern your access to and use of https://elevatespot.sg/ (the “Website”) and any products or services provided by Elevatespot Pte Ltd (UEN: 202429310D) (“Elevatespot”, “we”, “us”, “our”), including our software solutions including but not limited to Engage (the “Service”).
By accessing or using the Website or Service, you agree to these Terms. If you do not agree, do not use the Website or Service.
These Terms should be read together with our Privacy Policy: https://elevatespot.sg/privacy-policy/.
1) Who May Use the Website / Service
You represent that:
you are at least the age of majority in your jurisdiction; and
you have authority to enter into these Terms on behalf of a business or organisation if you are using the Service for business purposes.
2) The Website and Service
We provide:
consulting and advisory services; and/or
software tools (including Engage) that may integrate with third-party messaging channels (e.g., WhatsApp Business Platform) and other tools.
We may update, change, suspend or discontinue any part of the Website or Service from time to time.
3) Accounts and Security (for Engage and related services)
If you create an account:
you must provide accurate information and keep it updated;
you are responsible for all activity under your account; and
you must keep credentials confidential and notify us promptly if you suspect unauthorised access.
We may suspend or disable accounts to protect the Service, other users, or third parties, or if we believe there is a breach of these Terms.
4) Acceptable Use
You agree not to use the Website or Service to:
violate any law or regulation;
infringe intellectual property, privacy, confidentiality, or other rights;
send spam, scams, or misleading communications;
distribute malware or attempt to gain unauthorised access to systems;
interfere with or disrupt the Service (including excessive requests or abuse);
collect personal data unlawfully or without appropriate consent/notice.
Messaging channels (e.g., WhatsApp Business Platform): If you use Engage to connect to third-party messaging platforms, you must comply with those platforms’ policies, including consent/opt-in requirements and content restrictions. You are responsible for your messaging content, recipient lists, and compliance obligations.
5) Customer Responsibilities (Business Users)
If you are a business customer using Engage to communicate with your End Users/customers, you are responsible for:
ensuring you have lawful basis/consent and appropriate notices to collect, use and disclose personal data;
the content you send, the templates you create/use, and how you manage customer communications;
maintaining appropriate internal controls over who can access your account and data;
- responding to End User requests where you control the relationship (e.g., customer support, opt-outs).
6) Third-Party Services and Fees
The Service may rely on or integrate with third-party services (e.g., Meta/WhatsApp, hosting providers, analytics tools). We do not control third-party services and are not responsible for their availability, outages, pricing, or policy changes.
Third-party fees: Some third parties (e.g., messaging platforms) may charge fees. Unless otherwise agreed in writing, those fees are your responsibility.
7) Intellectual Property
The Website, Service, and all associated software, designs, text, graphics, logos and content are owned by or licensed to Elevatespot and are protected by applicable laws.
You receive a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes during your subscription/engagement, subject to these Terms.
You must not reverse engineer, copy, resell, or exploit the Service except as permitted by us in writing.
8) Your Content
You (or your organisation) retain ownership of the content you submit to the Service (including messages, templates, contact data, and other business content) (“Customer Content”).
You grant Elevatespot a limited licence to process Customer Content only to provide, operate, secure, support, and improve the Service and as otherwise described in our Privacy Policy.
You represent you have the rights and permissions necessary to provide Customer Content to us.
9) Confidentiality
If, during a consulting engagement or platform onboarding, either party shares confidential information, the receiving party will use reasonable care to protect it and use it only for the business purpose it was shared for, unless disclosure is required by law.
10) Suspension and Termination
We may suspend or terminate access to the Service (in whole or part) if:
you breach these Terms;
your use creates security, legal, or reputational risk; or
required by law or third-party platform requirements.
You may stop using the Service at any time. Paid subscriptions/fees (if any) are handled according to your order form or written agreement with us.
11) Disclaimers
The Website and Service are provided on an “as is” and “as available” basis. While we aim to provide a reliable service, we do not guarantee that the Service will be uninterrupted, error-free, or meet all requirements.
To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
12) Limitation of Liability
To the maximum extent permitted by law:
Elevatespot will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.
Elevatespot’s total liability for all claims relating to the Website or Service will not exceed the fees paid by you to Elevatespot for the Service in the 3 months immediately preceding the event giving rise to the claim (or SGD 100 if no fees were paid), unless otherwise agreed in writing.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
13) Indemnity
You agree to indemnify and hold harmless Elevatespot from claims, damages, liabilities, and expenses arising from:
your Customer Content;
your breach of these Terms; or
your unlawful use of the Service, including violations of third-party platform policies (e.g., WhatsApp/Meta policies).
14) Governing Law and Disputes
These Terms are governed by the laws of Singapore. You agree to submit to the exclusive jurisdiction of the courts of Singapore for disputes arising out of or relating to these Terms, unless otherwise required by applicable law.
15) Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted on this page with a new “Last Updated” date. Continued use of the Website or Service means you accept the updated Terms.
